Terms of Service

These terms govern access to and use of the AVAIA platform by agencies and their authorised users, and the use of this website.

Effective date:

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and the operator of AVAIA: News LLC (“AVAIA”, “we”, “us”). If you use AVAIA on behalf of an agency or other organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.

If an agency has signed a separate written agreement with us, that agreement prevails over these Terms where they conflict.

2. The service and its status

AVAIA is a media production and publishing-operations platform for news agencies. Depending on what is enabled for an agency, it can be used to manage brand packs and templates, produce static cards, motion cards, video and voice from stories, store media and outputs, and follow jobs and history.

Features available to an agency may depend on its agreement with us. We continuously develop AVAIA and may add, change or retire features as described in section 10.

3. Agencies, users and accounts

  • AVAIA is provided to organisations, not to consumers. Accounts are created for authorised users of an agency.
  • The agency is responsible for who it gives access to, for its users’ activity, and for removing access when someone should no longer have it.
  • Keep your sign-in credentials confidential and tell us promptly if you believe your account has been compromised.
  • You must provide accurate information and keep it up to date.

4. Your content

“Agency Content” means the stories, text, images, audio, video, logos, fonts, templates and other material an agency uploads to AVAIA, and the outputs produced from them for the agency.

  • Ownership. As between you and AVAIA, the agency keeps all rights in its Agency Content. We do not claim ownership of it.
  • Licence to operate the service. The agency grants AVAIA a limited, non-exclusive licence to host, copy, process, render, transmit and display Agency Content only as needed to provide, secure and support the service for that agency, including sending it to service providers and — when the agency instructs — to connected publishing channels.
  • Your responsibility. The agency is responsible for its Agency Content and confirms it has all rights and permissions needed to use it in AVAIA, including rights in photographs, footage, music, fonts and the likeness of people who appear in it.
  • Brand separation. AVAIA does not place its own brand on Agency Content by default.

5. Generated output and editorial responsibility

Some AVAIA features use automated and AI-assisted processing, for example preparing text for speech. Automated output can contain errors. The agency remains editorially responsible for everything it publishes and must review outputs before publication.

6. AVAIA’s intellectual property

AVAIA, including its software, design system, the AVAIA name and the Flowmark logo, belongs to AVAIA or its licensors. These Terms give you a limited, non-transferable right to use the service while your access is active; they do not transfer any intellectual property to you. You may not use the AVAIA name or logo except as we permit in writing.

7. Acceptable use

You must not, and must not allow others to:

  • use AVAIA to create or publish content that is unlawful, that infringes the rights of others, or that violates the policies of the channels where it is published;
  • attempt to access another agency’s data, or bypass the separation between agencies;
  • probe, scan or test the vulnerability of the service, or circumvent security, rate or usage limits, without our written permission;
  • upload malware or interfere with the service’s operation;
  • copy, reverse engineer or resell the service, except where the law expressly allows it;
  • misuse connected accounts or access tokens, or use AVAIA to send spam.

8. Third-party services and connected accounts

AVAIA relies on third-party services, such as hosting and storage, AI and voice providers, and publishing channels such as Buffer and Telegram and — once their integration is available — Facebook, Instagram, Threads, TikTok and YouTube. Your use of those channels is also governed by their own terms and policies. AVAIA’s YouTube features use YouTube API Services: by using them, you agree to be bound by the YouTube Terms of Service.

  • When an agency connects an account, it authorises AVAIA to act on that account only as the agency instructs and within the permissions granted.
  • Publishing results depend on the third party. A channel may reject, delay or remove content, change its features or revoke access. AVAIA reports uncertain outcomes instead of re-sending blindly, and is not responsible for decisions made by third-party platforms.
  • AVAIA is not affiliated with, endorsed by or approved by Meta, Buffer or Telegram unless we state otherwise.

9. Fees

Fees, payment terms and any service levels are set out in a separate written agreement with the agency.

10. Availability and changes

We work to keep AVAIA available and reliable. Unless a service level is agreed in writing, the service is provided without a service-level commitment. We may change, add or remove features, and will give agencies reasonable notice of changes that materially reduce functionality they rely on.

11. Suspension and termination

  • An agency may stop using AVAIA at any time and ask us to close its workspace.
  • We may suspend or end access if these Terms are breached, if required by law, or to protect the security of the service, other agencies or third parties. Where reasonable, we will give notice first.
  • After closure, data is handled as described in the Privacy Policy and on the Data Deletion page. Agencies can request an export of their content before their workspace is closed.
  • Sections that by their nature should survive termination (such as 4, 6, 12, 13 and 14) survive.

12. Disclaimers

To the extent permitted by law, AVAIA is provided “as is” and “as available”, and we do not guarantee that it will be uninterrupted, error-free or that planned features will be delivered. Nothing in these Terms limits rights you have under law that cannot be limited by contract.

13. Limitation of liability

To the maximum extent permitted by law, AVAIA is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill, arising from the use of or inability to use the service. Our total liability for any claim relating to the service is limited to the amounts paid by the agency for the service in the twelve months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

14. Governing law and disputes

These Terms are governed by the laws of the place where the operator is registered, unless a written agreement with the agency provides otherwise. We will try to resolve any dispute amicably first by contacting each other in writing.

15. Changes to these terms

We may update these Terms. We will change the date at the top of this page and notify agencies of material changes in advance. Continued use after changes take effect means acceptance of the updated Terms.
